Terms of Service

1. Acceptance of Terms

By creating an account or using Ceptur (the "App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App. These Terms constitute a binding agreement between you and Ceptur LLC ("Ceptur," "we," "us").

2. Eligibility and Age Requirements

Ceptur has different age requirements depending on the features you use:

• Language Learning features (lessons, flashcards, quizzes, AI Tutor) — available to users aged 13 and older. Users under 18 represent that their parent or guardian has reviewed and agreed to these Terms.
• Social features (feed, direct messaging, audio lounges, matching, marketplace) — restricted to users aged 18 and older. By accessing these features, you represent that you are 18 or older.

By using Ceptur, you represent that you meet the applicable age requirement for the features you access. We reserve the right to terminate accounts where age requirements are not met.

3. Your Account

• You are responsible for maintaining the security of your account and password.
• You must provide accurate and complete registration information.
• You may not share your account with others or use another person's account.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at cepturhq@gmail.com if you suspect unauthorized access.

4. Subscriptions and Billing

Ceptur offers a free tier and a Premium subscription at $9.99/month. Premium unlocks the AI Tutor, Reading Library, Audio Immersion, and advanced lessons.

• Billing — Premium subscriptions are billed monthly. Your subscription renews automatically at the end of each billing period unless cancelled.
• Cancellation — You may cancel your subscription at any time. Access codes grant permanent premium access with no recurring billing.
• Refunds — We do not offer refunds for partially used subscription periods. Contact us at cepturhq@gmail.com if you believe a charge was made in error.
• Price changes — We will provide at least 30 days notice before changing subscription prices.

Apple App Store subscribers: Payment is charged to your Apple ID at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period. Manage or cancel your subscription at any time in your device's Settings > Apple ID > Subscriptions.

5. Marketplace

Ceptur provides a peer-to-peer marketplace for community members to buy and sell goods. Ceptur is a platform, not a party to transactions between buyers and sellers.

• Sellers are responsible for the accuracy of their listings and fulfilling orders.
• Payments are processed by Stripe Connect. Sellers must agree to Stripe's Connected Account Agreement.
• Ceptur is not liable for disputes between buyers and sellers, but we may assist in resolution at our discretion.
• You may not list prohibited items including counterfeit goods, illegal items, or anything that violates these Terms.

6. User Content

You retain ownership of content you post ("User Content"). By posting, you grant Ceptur a worldwide, non-exclusive, royalty-free license to use, display, and distribute your User Content to operate and improve the App.

You are solely responsible for your User Content. You may not post content that:

• Is unlawful, harassing, abusive, threatening, or defamatory
• Infringes on any copyright, trademark, or other intellectual property rights
• Contains spam, misleading information, or unauthorized commercial solicitation
• Violates the privacy of any person
• Is sexually explicit or involves minors in any sexual context

7. Acceptable Use

You agree not to:

• Use the App for any illegal purpose or in violation of any laws.
• Attempt to access or tamper with our systems, servers, or other users' accounts.
• Scrape, crawl, or harvest data from the App without permission.
• Create fake accounts, impersonate others, or misrepresent your identity.
• Interfere with the operation of the App or degrade its performance for others.
• Use AI features to generate harmful, misleading, or abusive content.

8. Intellectual Property

The Ceptur App, including its design, curriculum content, logo, and underlying technology, is owned by Ceptur LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the App without our written permission.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. You may delete your account at any time from the Settings page. Upon termination, your right to use the App ceases immediately.

10. Disclaimer of Warranties

Ceptur is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or free of viruses.

11. Limitation of Liability

To the maximum extent permitted by law, Ceptur LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the greater of $100 or the amount you paid to us in the past 12 months.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ceptur LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity. Ceptur reserves the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate with our defense.

13. DMCA and Copyright

Ceptur respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the App infringes your copyright, please send a written notice to cepturhq@gmail.com with the following:

• A description of the copyrighted work you claim has been infringed.
• A description of where the infringing content is located in the App.
• Your contact information (name, address, phone, email).
• A statement that you have a good faith belief the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on their behalf.
• Your electronic or physical signature.

We will respond to valid takedown notices and remove infringing content. Repeat infringers will have their accounts terminated.

14. Matching and Guardian Feature Disclaimer

Ceptur's matching feature facilitates connections between users for networking, friendship, and marriage-intent purposes. By using this feature, you acknowledge that:

• Ceptur does not screen, verify, or vouch for any user's identity, character, or intentions.
• Ceptur makes no guarantee of compatibility or that connections will lead to any particular outcome.
• You are solely responsible for your interactions with other users, both on and off the platform.
• The Guardian feature allows designated family members to view your matching activity. You consent to this visibility when you enable the feature.
• Ceptur is not liable for any outcomes — positive or negative — resulting from connections made through the matching feature.

15. AI Features Disclaimer

Ceptur's AI Tutor is an educational tool designed to support language learning practice. It is not a certified language instructor, therapist, counselor, or professional of any kind. Responses generated by the AI are not guaranteed to be accurate, complete, or appropriate for all situations. Language learning outcomes vary by individual and are not guaranteed. By using voice features, you consent to your audio being processed by OpenAI's Whisper API for transcription. Audio is not stored permanently on our servers.

16. Apple App Store

If you download the App through the Apple App Store, the following applies: These Terms are between you and Ceptur LLC only, not Apple Inc. Apple is not a party to this agreement and bears no responsibility for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); Apple has no other warranty obligation. Apple is not responsible for addressing any claims you or any third party may have relating to the App. If a third party claims the App infringes their intellectual property rights, Ceptur — not Apple — is responsible for investigating and defending such claims. You must comply with applicable third-party terms when using the App. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ceptur LLC regarding your use of the App and supersede all prior agreements.

18. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Mecklenburg County, North Carolina.

19. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the App after changes take effect constitutes acceptance of the new Terms.
